1. General Terms and Conditions

1.1 These General Terms and Conditions apply to A-Dailey-Brand Official Merchant’s Affiliate Marketing Programme. By participating in the programme, the affiliate is deemed to have agreed to these terms and conditions.

1.2 A-Dailey-Brand Official Merchant reserves the right to amend these Terms and Conditions at any time. Affiliates will be informed via email or an update on the website.

2. Participation and Acceptance

2.1 The programme is intended for individuals aged 18 years and above.

2.2 Affiliates are required to have a valid social media account, blog or YouTube channel that meets the following guidelines:

• No content that is in violation of any applicable laws, discriminatory, violent or otherwise offensive.
• Content that is relevant to the product or target audience.

2.3 A-Dailey-Brand Official Merchant reserves the right to reject any application for participation without providing an explanation.

3. Commission Structure

3.1 Affiliates will receive a commission based on the agreed percentage of the net sales value of each product purchased through their unique coupon code or affiliate link.

3.2 Commissions are calculated based on net sales, excluding value added tax, shipping costs and any refunds.

3.3 Commission payments will be made on a monthly basis via bank transfer or PayPal.

3.4 Affiliates will only receive commission on sales transactions that take place on a direct sale with their unique coupon code or affiliate link.

4. Obligations of the Affiliate

4.1 Affiliates are responsible for promoting the product and brand in an honest and transparent manner.

• Misleading or false claims about the product are not permitted.
• Affiliates may only use their unique coupon codes or links as provided by A-Dailey-Brand Official Merchant. Paid search engine advertising (e.g., Google Ads) is not allowed without prior written consent.
• Affiliates may not take any action that infringes A-Dailey-Brand Official Merchant’s intellectual property rights, such as using logos or images without permission.

4.2 Misleading or false claims about the product are not permitted.

4.3 Affiliates may only use their unique coupon codes or links as provided by A-Dailey-Brand Official Merchant. Affiliates may not use paid search engine advertising (e.g. Google Ads) without prior written consent.

4.4 Affiliates may not take any action that infringes A-Dailey-Brand Official Merchant’s intellectual property rights, such as using logos or images without permission.

5. Refunds and Fraud

5.1 If a customer cancels, refunds or returns a purchase, the commission for that sale will be cancelled or reclaimed.

5.2 In the event of suspected fraud, abuse or violation of these Terms and Conditions, A-Dailey-Brand Official Merchant reserves the right to immediately terminate the relationship with the Affiliate and cancel any outstanding payments.

6. Termination of Participation

6.1 Either party may terminate the Affiliation at any time by giving notice in writing via email.

6.2 Upon termination of the Affiliation, the Affiliate shall immediately cease to promote the Product and to use the Affiliate Links and Codes.

6.3 Outstanding commissions will be paid within 1 month after termination, provided there has been no breach of these Terms and Conditions.

7. Liability

7.1 A-Dailey-Brand Official Merchant shall not be liable for any direct or indirect damages arising from participation in the Affiliate Marketing Programme.

7.2 The Affiliate is fully responsible for the content it publishes and the consequences thereof.

8. Privacy and Data Protection

8.1 Affiliates understand and accept that their personal data (such as name, email address and payment details) will be processed in accordance with A-Dailey-Brand Official Merchant Privacy Policy.

8.2 Affiliates are prohibited from collecting or using Customer Data without the express consent of A-Dailey-Brand Official Merchant.

9. Applicable Law

9.1 These Terms and Conditions shall be governed by the laws of the European Union.

9.2 Disputes shall be dealt with by the competent court in The Netherlands.
